PC Jeweller faces administrative warnings from SEBI for database management failures related to sensitive business updates.
SEBI warned PC Jeweller's MD and company secretary for not maintaining a structured digital database.
The warning is linked to a business update for the quarter ending June 30, 2025.
PC Jeweller confirmed that trading restrictions were in place during the relevant period.
The Securities and Exchange Board of India (SEBI) has issued administrative warnings to Balram Garg, the managing director of PC Jeweller, and Vijay Panwar, the company secretary, due to failures in maintaining a structured digital database. This warning, communicated on October 30, 2026, relates to a business update disclosed to stock exchanges on July 3, 2025, concerning the company's quarterly performance ending June 30, 2025.
The regulatory body highlighted that the lapse involved unpublished price sensitive information (UPSI) associated with the business update. PC Jeweller acknowledged the oversight regarding the structured digital database but assured that measures to prevent insider trading were actively implemented during the relevant timeframe. The trading window for designated individuals and their immediate relatives was closed from July 1, 2025, until two days after the financial results were announced on August 1, 2025.
As per SEBI regulations, listed companies are mandated to maintain a structured digital database that includes details of individuals with whom unpublished price sensitive information is shared. This requirement is part of a broader framework aimed at enhancing market transparency and preventing insider trading. The warning issued to PC Jeweller is purely administrative and does not involve any financial penalties.
PC Jeweller has clarified that the regulatory warning will not affect its financial position, operations, or any ongoing business activities. The company remains committed to adhering to SEBI regulations and ensuring compliance in its operations moving forward.
Looking ahead, PC Jeweller plans to reinforce its compliance measures and enhance its database management practices to prevent any future lapses. The company is also expected to continue its engagement with SEBI to ensure full compliance with regulatory standards.
