The Securities and Exchange Board of India (SEBI) has announced an extension of its relaxation policy regarding the revision of initial public offering (IPO) sizes, now valid until March 31, 2027. This decision allows companies to modify their IPO sizes by as much as 50% without the need to submit new draft offer documents, providing them with greater flexibility in a fluctuating market environment.

Initially set to expire on September 30, 2026, this extension was communicated to the Association of Investment Bankers of India (AIBI) on October 12. The original deadline was established in early April, influenced by geopolitical tensions in West Asia that impacted investor sentiment. The relaxation was introduced to facilitate companies in adapting to changing market conditions without restarting the regulatory filing process.

Under the previous regulations, any adjustments exceeding 20% in the issue size necessitated the filing of new draft offer documents. With the current extension, companies can make necessary adjustments while ensuring that the primary objective of their IPO remains unchanged. They are required to provide justification for any size revisions, and book-running lead managers (BRLMs) must certify that all regulatory requirements are met.

The lead BRLM is tasked with updating the draft red herring prospectus (DRHP) to reflect the new issue size, and any modifications must be disclosed through an addendum to the offer document. These measures are designed to offer issuers the needed flexibility while maintaining transparency for investors and ensuring that any changes to proposed offerings are adequately explained.

This relaxation specifically pertains to the fresh issue component of an IPO, which involves companies issuing new shares to raise capital. It does not permit unrestricted changes to the fundamental objectives of the offerings, ensuring that companies remain accountable to their investors while navigating the complexities of the market.
