The Reserve Bank of India (RBI) has recently requested a detailed plan from Japan's Mizuho Group regarding the consolidation of its non-banking financial company (NBFC) assets in relation to its proposed acquisition of a controlling interest in Avendus Capital. This communication indicates that while the RBI has not halted the transaction, it now requires a comprehensive strategy for how Mizuho intends to integrate its existing NBFC operations with Avendus in India.
The RBI's request follows the announcement made on December 17, 2025, when Avendus Capital revealed that KKR’s affiliate, Redpoint Investments, would sell its majority stake to Mizuho Securities for over $520 million. This transaction would result in Mizuho acquiring more than 60% of Avendus, subject to regulatory approvals. The RBI has granted Mizuho a six-month timeline to develop and submit the necessary consolidation plan, which is crucial for moving forward with the acquisition.
