Tata Trusts Responds to Complaints from Trustees on Governance Issues
Tata Trusts has officially denied allegations made by trustees Vijay Singh and Venu Srinivasan regarding misgovernance.
Tata Trusts submitted its response to the Charity Commissioner of Maharashtra denying all allegations.
Complaints were filed by trustees in September, questioning the administration and governance of the Trusts.
The complaints also sought to restrict Chairman Noel Tata from voting in the upcoming Tata Sons AGM.
Tata Trusts has filed a formal response to the Charity Commissioner of Maharashtra regarding complaints lodged by trustees Vijay Singh and Venu Srinivasan. The response, submitted on Monday, categorically denies all claims made in the complaints, particularly those alleging misgovernance within the Trusts.
The complaints were submitted by Singh and Srinivasan at the end of September, prompting a request for an inquiry into the Trusts' administration. They also sought to prevent Noel Tata, the chairman of Tata Trusts, from participating in the voting process at the upcoming annual general meeting of Tata Sons.
Initially, the Charity Commissioner had set a deadline of October 12 for Tata Trusts to respond, which was later extended to October 19 following a request from the Trusts. The complaints are rooted in concerns raised during the Tata Sons board meeting on September 17, where a vote resulted in a 4:1 decision to reappoint N Chandrasekaran as chairman for a third term starting February 2027.
Additionally, the board's resolution included compliance with Reserve Bank of India guidelines for non-banking finance companies, which would necessitate listing Tata Sons' shares. However, Noel Tata has expressed opposition to this listing. Srinivasan claims that the Sir Dorabji Tata Trust attempted to inhibit his participation and voting rights regarding the listing issue, framing it as a maneuver for power consolidation within the Trust.
Looking ahead, the situation remains dynamic as the Charity Commissioner reviews the responses and the implications of the complaints. The upcoming Tata Sons AGM will be closely watched, particularly regarding the governance and operational strategies of Tata Trusts and its leadership.
