Tata Steel is scheduled to hold a board meeting on November 7 to review and approve its second quarter earnings. This meeting was rescheduled from October 27 due to unavoidable circumstances. Natarajan Chandrasekaran, the non-executive chairman of Tata Steel, and Noel Tata, the non-executive vice-chairman, are central figures in this meeting, especially as Noel prepares to step down from the board on November 12 upon reaching the retirement age of 70 for non-executive directors.
The upcoming meeting comes amid ongoing discussions regarding governance within Tata Trusts. There have been calls, including open letters from Tata loyalists, for the chairmen of Tata Sons and Tata Trusts to engage in direct dialogue. This reflects a broader concern about leadership stability within the Tata Group, which has faced uncertainty in recent months.
In addition to the Tata Steel meeting, the Sir Dorabji Tata Trust (SDTT) is expected to hold a board meeting in November. The SDTT has recently defended its decision to keep Tata Sons unlisted in a letter to the Maharashtra Charity Commissioner. The trust, which holds a 66% stake in Tata Sons, argues that it is within its rights to restructure the business to avoid public listing, thereby protecting its assets.
The Maharashtra Charity Commissioner, Amogh Shyamkant Kaloti, is anticipated to make a decision regarding the SDTT's position soon. This follows earlier actions where the commissioner froze decision-making powers of another key entity, the Sir Ratan Tata Trust (SRTT), earlier this year. The SDTT's response to the Charity Commissioner is aligned with its proposal to reorganize Tata Sons through an amalgamation process, which aims to preserve the group's century-old structure.
Despite the ongoing discussions about governance and potential listing, sources indicate that the listing of Tata Sons would not significantly impact the shareholding strength of Tata Trusts or its representation on the Tata Sons board. Currently, one-third of the Tata Sons board is required to be represented by nominees from Tata Trusts, with Noel Tata and Venu Srinivasan serving in these roles. At a recent board meeting, directors supported extending Chandrasekaran's chairmanship until February 2027 and discussed the necessity of listing Tata Sons as mandated by the Reserve Bank of India for upper layer non-banking financial companies (NBFCs).
