Tata Motors has made significant progress in its €3.91 billion acquisition of Iveco Group, with shareholders approving crucial resolutions during an extraordinary general meeting held in Amsterdam on October 16. This approval includes a reduction in the minimum tender acceptance threshold from 95% to 80%, facilitating the transaction's advancement. However, the completion of the deal is still contingent upon meeting outstanding offer conditions and achieving adequate shareholder acceptance, with the tender offer set to close on October 26, unless an extension is granted.

The acquisition, first announced in July 2025, is designed to bolster Tata Motors' position in the global commercial vehicle market. Girish Wagh, managing director and CEO of Tata Motors, emphasized the strategic benefits of this merger, stating that it would allow the companies to leverage their strengths and capabilities to create a more competitive commercial vehicle business. This business is expected to better serve customers and invest in future technologies, ultimately generating sustainable value for all stakeholders involved.

N. Chandrasekaran, chairman of Tata Sons, has been nominated to lead the board of Iveco following the successful settlement of the acquisition offer. Alongside him, P.B. Balaji, CEO of Jaguar Land Rover, and Girish Wagh are proposed to join as non-independent directors. The new board will consist of six members, including current CEO Olof Persson and two independent directors, with their terms effective until the 2027 annual general meeting.

Shareholders have also approved amendments to Iveco's articles of association, which include changes to the voting structure and provisions for a potential post-offer demerger and share sale. These adjustments are intended to support the restructuring and delisting process, contingent on meeting the necessary ownership thresholds and transaction conditions. Notably, the acquisition does not include Iveco's defense business, which was sold to Italian defense firm Leonardo for €1.7 billion.

As the October 26 deadline approaches, Tata Motors is focused on securing the necessary shareholder acceptance and fulfilling outstanding conditions to finalize the acquisition. This deal is anticipated to significantly enhance Tata Motors' European presence, expand its product offerings, and diversify its geographical reach, while also creating opportunities for scaling investments in technology and manufacturing.
