Sundaram Iyengar, is grappling with the implications of a memorandum of understanding (MoU) executed in March 2024, which outlines non-compete obligations and restrictions on the use of the TVS brand.
The conflict intensified in April 2025 when Sudarshan Venu was identified as a Significant Beneficial Owner (SBO) of TVS Holdings. This disclosure raised eyebrows regarding the succession of ownership within the family, particularly as the company is valued at over ₹1.80 lakh crore. The MoU, which has been a focal point of the dispute, does not explicitly address ownership transitions, leading to differing interpretations among family members.
Under the terms of the MoU, Sudarshan and his affiliates agreed to refrain from using certain trademarks in specific die-casting businesses, while Mallika and Lakshmi committed to similar restrictions in other vehicle-related sectors. An executive familiar with the situation noted that the MoU does not clarify ownership rights, prompting questions about the automatic association of management roles with ownership.
Lakshmi Venu, backed by her mother, is advocating for equal ownership rights, arguing that the current division is inequitable. This push for equality has also highlighted concerns about gender bias within the family, as both women emphasize the importance of equal treatment in ownership matters. The inclusion of the Amalgamations Group in these discussions has further complicated the situation, with concerns raised about representation and decision-making authority.
