Fairfax Financial Holdings has unveiled plans to merge IDBI Bank with Digit Insurance and IIFL Capital Services, as announced by Chairman and CEO Prem Watsa. This strategic move follows the recent Cabinet approval for Fairfax to acquire a 60.7% stake in IDBI Bank for ₹52,878 crore. The proposed merger aims to create a robust financial services entity that integrates banking, insurance, and investment services, positioning it as a leading player in the Indian market.

The merger comes after a long-awaited strategic sale of IDBI Bank, which has faced delays. Fairfax holds a significant stake in both Digit Insurance and IIFL Capital Services, with the latter being a prominent player in wealth management and investment banking. Watsa emphasized that this consolidation would enable the new entity to tap into the growing Indian markets, particularly in banking deposits and wealth management.

Fairfax plans to contribute its interests in Digit and a 30.2% stake in IIFL Capital to IDBI Bank, with valuations based on market prices. This structure will allow IDBI Bank to offer a range of services, including insurance through Digit and investment banking via IIFL Capital. Watsa expressed confidence that a unified financial services company would greatly benefit India's economy and its citizens.

The merger is contingent upon approvals from various regulatory bodies, including the Reserve Bank of India and the Securities and Exchange Board of India. Fairfax has stated that no binding agreements have been finalized yet. The leadership of the combined entity is expected to include IDBI Bank's current CEO, Rakesh Sharma, and former ICICI Prudential Life Insurance CEO N S Kannan as chairman, both subject to regulatory approval.

Looking ahead, Fairfax aims to fund the acquisition through a mix of cash reserves and existing credit facilities. The merger is expected to deepen Fairfax's footprint in India's financial services sector, which already includes interests in insurance and capital markets. As the merger progresses, Fairfax is optimistic about contributing to India's goal of becoming a developed economy by 2047, while also improving the country's credit-to-GDP ratio.
