Bajaj Finance, one of India's leading private non-banking financial companies, has commenced preparations for a substantial capital raise amounting to Rs 17,500 crore. The company's board approved this initiative on October 2, 2023, which will involve a combination of a qualified institutional placement (QIP) of up to Rs 11,700 crore and a preferential issue of warrants valued at Rs 5,800 crore.
This fundraising effort, if successful, is expected to be among the largest equity raises by an Indian financial services firm in recent history. The company has enlisted three investment banks—Kotak Mahindra Capital, JP Morgan, and Morgan Stanley—as advisors for this transaction. According to sources familiar with the matter, additional advisors may be added as needed.
The launch of this fundraising initiative is tentatively scheduled for November, with a preference for the latter half of the month, contingent on market conditions. The proceeds from this capital raise are intended to support growth initiatives, continuing a historical trend where Bajaj Finance has raised capital approximately every two to three years.
Bajaj Finance's previous equity fundraising occurred in 2023, where it successfully raised Rs 10,000 crore through a combination of QIP and warrants. In 2019, the firm raised Rs 8,500 crore via the QIP route. The company's share price has seen a notable increase of over 14% in the past six months, reflecting investor confidence.
Looking ahead, Bajaj Finance is poised to leverage the funds for strategic growth opportunities. The company has also recently made investments in technology, including acquiring a 5% stake in TrueFan AI, an AI-driven video generation platform. As Bajaj Finance continues to innovate and expand its services, the upcoming fundraising will be crucial in maintaining its competitive edge in the financial services sector.
